Introducing The Startup Wind-Down Playbook

There's one topic founders, investors, and the startup community rarely talk about openly.

The process of winding down a venture-backed startup is punishing, isolating, and emotionally exhausting.

You feel like you failed, even if the high failure rate of venture-backed startups is a feature of the ecosystem, not a bug.

It is a 16-page operational framework designed to help founders move from emotional paralysis to operational execution. It outlines the 5 phases of an orderly wind-down:

  1. Assessment: Calculate your total wind-down costs and establish a hard "pencils down" cash trigger line. 1a. The Compressed M&A Sprint: Pivot an existing M&A process into a final attempt at a soft landing.
  2. Planning: Secure board approval, retain specialized counsel, and build the final plan for an orderly wind-down.
  3. Execution: Freeze non-essential spend, methodically offboard the team, and execute a strict sequence of communications.
  4. The IP Sale: If viable, sell the remaining technology from a non-operating holding state after the burn is eliminated.
  5. Liquidation: Settle liabilities out of court with legal guidance and formally dissolve the entity.

No two wind-downs look alike. No single handbook can replace expert legal advice specific to your situation.

The primary goal of this framework is to provide founders with a starting point for proactively taking action, reducing risk while treating everyone involved as fairly as possible.

At some point in the founder journey, you are no longer fighting for unicorn status, venture-scale outcomes, and the next glowing press release. Your perspective shifts to making the hard choices and winding down the right way.
